Terms and Conditions for Teacher Use

1. Acceptance of Terms

By creating an account and accessing the Double R CQ Stories Lesson Planners platform ("the Platform"), you ("the Teacher", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not register or use the Platform.

2. Eligibility

You must be a certified teacher who has completed the Double R training course and holds a valid licence number issued by Double R Amalgam Limited ("Double R", "the Company", "we"). You confirm that all information provided during registration is accurate and current.

3. Description of Service

The Platform provides access to a library of picture-book-based lesson plans, teaching resources, worksheets, props sheets, slideshows, and related educational materials ("the Materials") for use in your classroom teaching. Access is granted on a subscription basis according to the tier you have purchased.

4. Licence Grant

Subject to your compliance with these Terms and an active subscription, Double R grants you a personal, non-exclusive, non-transferable, revocable licence to:

• Access and view the Materials through the Platform
• Download and print Materials for use in your own classroom
• Use the Materials in face-to-face teaching sessions with your students

This licence does not include any right to distribute, share, sell, sublicense, or otherwise make the Materials available to third parties.

5. Copyright and Intellectual Property

All Materials on the Platform, including but not limited to lesson plans, worksheets, props sheets, slideshows, illustrations, flashcards, lyrics, chants, and any associated images, text, and audio, are the exclusive property of Double R Amalgam Limited and are protected by copyright laws and international treaties.

You acknowledge that:

• No part of the Materials may be reproduced, stored in a retrieval system, or transmitted in any form or by any means without prior written permission from the Company
• You may not remove, alter, or obscure any copyright, trademark, or proprietary notices from the Materials
• All Materials downloaded or printed must retain the Company's contact information and branding

6. Restrictions on Use

You agree NOT to:

• Copy, duplicate, or redistribute the Materials to other teachers, schools, or third parties
• Upload, post, or share the Materials on any website, social media platform, file-sharing service, or public repository
• Modify, adapt, translate, or create derivative works based on the Materials
• Use the Materials for any commercial purpose other than your own classroom teaching
• Resell, sublicense, or lease access to the Platform or Materials
• Use the Platform in any manner that could damage, disable, overburden, or impair the service
• Attempt to gain unauthorised access to any part of the Platform

7. Subscription and Payment

• Subscription fees are billed annually in advance according to your selected tier
• Subscriptions expire on the end date shown in your account; you must renew to maintain access
• All fees are non-refundable except where required by applicable law
• The Company reserves the right to change subscription fees upon renewal with prior notice

8. Liability Disclaimer

THE PLATFORM AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOUBLE R AMALGAM LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR MATERIALS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID FOR YOUR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Double R Amalgam Limited, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your breach of these Terms
• Your misuse of the Materials
• Your violation of any copyright or intellectual property rights
• Any claim by a third party arising from your use of the Platform

11. Privacy

The Company collects and processes your personal information (name, email, licence number) for the purpose of administering your account and subscription. By registering, you consent to this data processing in accordance with the Company's privacy practices.

12. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify the Company immediately of any unauthorised use of your account.

13. Termination

The Company may suspend or terminate your access to the Platform at any time, with or without cause, including if you breach these Terms. Upon termination, your licence to use the Materials ceases immediately and you must destroy all downloaded or printed Materials in your possession.

14. Changes to Terms

The Company may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
